Terms of service

1. Agreement

By accessing or using Spiruto (“Service”), you agree to these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2. Operator

The Spiruto website and software are operated by PANIELIX LLC, a Wyoming limited liability company. Mailing address:

3. The Service

Spiruto provides tools for businesses to publish booking pages, manage availability, and process payments through integrated providers. Features may change as we ship improvements; we may suspend or discontinue parts of the Service with reasonable notice where practicable.

4. Accounts & security

You must provide accurate registration information and safeguard credentials. You are responsible for activity under your account. Notify us promptly of unauthorized use at support@spiruto.com.

5. Acceptable use

You agree not to:

  • Violate law or third-party rights.
  • Upload malware, probe, or disrupt the Service or other users.
  • Scrape or overload the Service without written permission.
  • Misrepresent your identity or business.

6. Businesses & customers

When you book with a business on Spiruto, that business is responsible for the service you purchase, refunds, cancellations, and compliance with industry rules. Spiruto facilitates software and (where enabled) payment routing — the commercial relationship for the underlying service is primarily between you and the business unless your jurisdiction requires otherwise.

7. Fees & payments (including Stripe)

Spiruto may offer free and paid plans. Card processing is handled by Stripe; fees, disputes, and payout timing are governed by Stripe’s agreements and your connected account status. Platform fees, if any, are described on our pricing materials or your order form when applicable.

Accuracy for payment onboarding: When you connect payments, Stripe verifies your business independently. You must provide information to Stripe that is truthful and consistent with your legal entity (for example, legal business name and business address). Tax identification numbers and similar sensitive data are collected securely by Stripe for verification — we do not publish those on our public website. Mismatches between your Stripe account and your legal entity can delay or prevent approval.

8. Intellectual property

Spiruto retains rights in the Service, branding, and documentation. You retain rights in content you upload; you grant us a license to host and process that content to operate the Service.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANIELIX LLC (OPERATOR OF SPIRUTO) AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE MAY BE CAPPED AS PERMITTED BY APPLICABLE LAW (COMMONLY THE AMOUNTS PAID TO SPIRUTO IN THE PRIOR TWELVE MONTHS FOR PAID USERS, OR A NOMINAL CAP FOR FREE USERS); YOUR COUNSEL MAY RECOMMEND ADJUSTMENTS FOR YOUR JURISDICTION.

11. Indemnity

You will defend and indemnify PANIELIX LLC and Spiruto against claims arising from your content, your breach of these Terms, or your violation of law — subject to refinement with counsel for your risk profile.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach, risk, or legal requirements. Sections that by nature should survive will survive termination.

13. Governing law & venue

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. You agree that exclusive jurisdiction for disputes arising out of or relating to these Terms or the Service lies in the state and federal courts located in Sheridan County, Wyoming, except where prohibited by applicable law.
